Article 2

Each order signifies the customer's acceptance of our terms and conditions of sale.

Article 3

The goods are transported at the expense and risk of the buyer. The duration of delivery is in mutual consultation and will always be determined in reasonableness.

An order of Micro products is delivered free of charge in the Netherlands from an order of €200.00 excluding VAT. An order of Yumbox/Montii products is delivered free of charge from €500 excluding VAT. For an order below the free delivery limit, the shipping costs are €8.26 ex VAT in the Netherlands. Foreign shipments have different rates and the shipping costs are calculated and invoiced separately if applicable.

Orders are shipped in master boxes of 4 steps as much as possible. After an order, Micro Step BV reserves the right to adjust an order in consultation with the customer, so that it can be packed more economically.

Delivery is made via PostNL in the Netherlands from Monday to Saturday. Delivery time is normally 1-3 business days. Foreign deliveries are sent via DPD.

In the event that a delivery cannot be delivered to the indicated address and this creates additional costs for Micro Step BV to have the delivery still take place, these costs will be passed on.

Article 4

The invoice must be paid within 14 calendar days after the invoice date, unless otherwise stated on the invoice. Payments after 60 days will automatically and without notice of default incur interest equal to 1% per month, as well as (also by law and without notice of default) a fixed compensation of 10% on the invoice amount, with a minimum of €250.00 as compensation.

New orders will not be accepted and new deliveries will not be made if there are still unpaid invoices.

Each invoice is considered to be accepted by the customer in the absence of a protest within 8 days of receipt of the invoice by registered letter and stating all the reasons for the dispute.

In the event of default of one or more outstanding claims, Micro Step reserves the right to immediately terminate its commitments, stop deliveries and consider any orders as cancelled.

Article 5

The goods remain the property of Micro Step BV until full payment has been made. As soon as the goods have been delivered, the buyer bears all loss and destruction risks.

Any advances paid remain acquired in favor of Micro Step BV to compensate for possible losses in the event of resale. If the buyer resells the goods himself, all claims arising from this resale will be transferred to Micro Step BV.

Article 6

If the buyer breaks or cancels the agreement or if the agreement cannot go ahead due to his actions, he will owe Micro Step BV compensation amounting to 20% of the total amount of the order.

Article 7

The goods have a high exclusivity value. The buyer acknowledges this and may only offer the goods for sale through its own official channels (physical shop, own website). These channels must be communicated to the seller at the latest at the time of the order, failing which Micro Step BV unilaterally determines which channels are prohibited.

Micro Step BV reserves the right to check these channels and to adjust/refuse certain channels if necessary.

The resale of goods to non-private persons is only permitted after prior consultation and approval of Micro Step BV.

The online sale of our goods is only permitted with the agreement of Micro Step and within the geographical area agreed with Micro Step BV. Active promotion outside the Netherlands is not allowed.

If the buyer wishes to offer the goods in a different way, he must always have the seller's agreement at any time.

Selling goods through third parties is not allowed.

In default, the buyer owes compensation, which will include, among other things, the (consequential) damage due to the violation of the reputation of the brand and is estimated at a minimum of € 5,000.00 per infringement.

Article 8

Due to the high exclusivity value of the brand and to protect it, Micro Step sets the following requirements for a reseller of Micro steps:

  • A Micro Step BV point of sale must have a physical store.
  • We expect that you and your staff are knowledgeable and aware of the properties and characteristics of the types of Micro scooters that you offer and that you can advise your customers about this.
  • Your store has been selected by us on the basis of location and the quality of the range that matches the products of the A-brand Micro Mobility Systems Ltd. that we distribute in the Netherlands.
  • In case of relocation to another location, we reserve the right to stop delivery at the new location if this conflicts with our already existing network of stores.
  • If the store has received a demo scooter, it should be placed on the floor so that children can actually use it and see and experience the steering mechanism.
  • With a minimum order of 12 Micro steps it is possible to borrow a Micro display stand. The display has a sleek and compact design (70cm x 35cm x 195cm). The stand offers space for 8/10 scooters. Stores with a display sell significantly more scooters. The condition is that the display remains filled and that it is only used for Micro scooters.

Article 9

At the time of delivery and/or collection, the buyer must immediately carry out an initial verification of the good and inspect it carefully. Any visible defects must be reported in writing to Micro Step BV 48 hours after delivery.

Article 10

Micro Step BV can under no circumstances be held liable for any manufacturing defect or any form of wear and tear of the delivered goods.

Any liability will in any case not exceed the purchase price of the defective item.

Micro Step BV can under no circumstances be held responsible for any indirect damage (e.g. (non-exhaustive) loss of profit, damage to third parties, ...)

Article 11

If, in a case of force majeure, Micro Step BV is unable to perform its obligations / these are unreasonably aggravated, it can suspend its obligations during the time of this force majeure, or definitively, without any compensation being due.

Article 12

The nullity of one of the articles of these general terms and conditions, or a part thereof, does not affect the validity of the other provisions of these general terms and conditions, nor of these general terms and conditions in their entirety. Their enforceability remains. In the event of invalidity or unenforceability of any provision of these terms and conditions, the parties will negotiate in good faith to replace it with a provision that has the same effect as possible as the invalid or unenforceable provision. Likewise, the parties will negotiate in good faith in order to find a solution acceptable to everyone if a situation arises that is not provided for in the general terms and conditions.

Article 13

Micro Step BV reserves the right to change these terms and conditions and its prices at any time. Micro Step BV formulates a reservation with regard to the correctness of prices on its website and reserves the right to change the price of a product after ordering if it can demonstrate that the price on the website does not correspond to the actual price, for example (non- limitative) due to an error in the system or a typing error. Micro Step BV will inform the customer within 14 days if he wishes to cancel the purchase. Failing which the agreement between the parties will apply to the changed price.

Article 14

All agreements concluded with Micro Step BV are governed by Dutch law. In the event of any disputes, only the courts of the judicial district where Micro Step BV is located are competent.
